INTRODUCTION AND CONTRACT

Soul Hub Collective Pty Ltd (ABN: 75 661 702 441) trading as Soulhub (“we” or “us”) is located at Suite 2/ 23 Oliver Street Freshwater NSW 2096. We ask all Participants (“particiants” or “you”) to carefully read these Terms & Conditions prior to attending the first class. Prior to entering into a membership, purchasing a package, attending a class or wellbeing appointment (paid or otherwise), it is important you have read and understood all the Terms and Conditions.

Soulhub reserves the right to change or review these Terms & Conditions at any time, without notice. We will endeavour to notify you as soon as practicably possible of any changes made to these Terms & Conditions. All changes made to these Terms & Conditions will take effect immediately from the date of their publication.

Soulhub offers you the opportunity to purchase various passes and packaged deals (“Passes”), purchase and participate in various studio challenges (“Challenge”) and purchase, and participate in various Wellbeing Appointments (“Appointments”). By paying us, attending any of our Classes or Appointments, you agree to be bound by these Terms and Conditions (the “Terms”). You may also accept these Terms by clicking ‘I Accept’ or ‘I Agree’ to the Terms where this option is made available to you in the user interface of the Website or App.

 

1.0 SOULHUB ACCESS

Full details of normal opening hours are available on the Soulhub Website, App and at the entrance door of Soulhub. Soulhub reserves the right to vary class schedules, opening hours, temporarily close certain areas of the space from time to time without notice for cleaning, decorating, repairs, renovations or for special functions, press events and holidays. We do not reduce your Membership fees because Soulhub is closed for renovations or for a public holiday.

Upon joining Soulhub, you will download the Soulhub app and create an account, book classes and appointments via the app and check into booked classes or wellbeing appointments upon arrival. You are solely responsible for any damage which you may cause to yourself, other members and Soulhub including but not limited to our facilities, services, products or equipment, if such damage is caused by your wilful act or negligence.

 

2.0 PERSONAL ITEMS

Soulhub takes no responsibility for loss, theft or damages to personal items bought in to the premises and recommend you limit the value of such items or utilise our lockers that can be located in the restrooms.

 

3.0 PURCHASE, PAYMENT & PRICING

Our Services as well as pricing for available membership and packages are listed on our Website and App. These prices may change from timeto-time. Unless otherwise specified the price includes any value added tax such as GST. You are personally responsible for payment to us of your membership/package fees as and when they fall due in accordance with the payment terms we prescribe.

You agree and acknowledge that payment may be made using third payment gateways, such as Ezypay (the Payment Gateway Provider). When signing up to the Pay, you agree that you have familiarised yourself with, and agree to be bound by, the applicable Terms and Conditions of Use, Privacy Policy and other relevant legal documentation provided by the Payment Gateway Provider prior to you using the Payment Gateway Provider.By nominating a credit or debit account, you are authorising us or the Payment Gateway Provider to deduct from that account fees associated with the Passes and this Agreement (Fees).

You acknowledge that where a request for the payment of the Fees is late, returned or denied, for whatever reason, by your financial institution or is unpaid by you for any other reason, then you are liable for any costs, including banking fees and charges, associated with the processing fee.

We reserve the right to exclude you from participating in Our Services where you have failed to pay all or any part of fees due and payable to us. We are not liable for any fees incurred by you from your designated bank or card provider for any late fees or charges incurred for failing to meet direct debit agreement with us.

We reserve the right to change pricing or direct debit terms at any time. We will provide 10 days notice in writing of any changes and unless you notify us and seek to cancel your membership, you authorise us to charge the increased membership fee and make direct debits from your nominated bank account or credit card.

 

4.0 SECURITY

For security purposes, Soulhub is under 24-hour camera surveillance and whether you are working out, entering or leaving a Soulhub or restrooms, your activities are recorded. It is important that you acknowledge and understand our surveillance system does not protect you in or on our facilities.

 

5.0 AGE

The minimum age to attend Soulhub is 15 years old. We reserve the right to refuse you access to our premises if you are under the age of 15 and attend Soulhub without permission.Your parent or guardian acknowledges and agrees to be fully responsible for all claims, actions, damages, injuries and loss to property and any other person, which is caused by you and is responsible for ensuring that your membership fees are paid and up to date.

 

6.0 HEALTH AND INJURIES

Before you participate in Soulhub Services, you must ensure that you are aware of, and understand, all of the risks involved in our services, and that those risks will include any particular risks associated with any health condition or pre-existing disability from which you suffer.

By signing Soulhub Terms and Conditions, you acknowledge, agree and understand that you engage or participate in our services voluntarily and at your own risk in full knowledge of the risks generally.

By signing the Terms and Conditions you also understand our employees and contractors are not medically trained and cannot and will not provide you with medical advice regarding your medical fitness or health and any information on these topics is not professional advice and only a guide as to the perceived limitations of your exercise ability.

 

7.0 OUR OFFERS

We offer a variety of membership options and packages for our Soul Studios and Wellbeing Hubs, to suit your needs. Our Passes, Packs, Memberships and Appointments may not be shared, they are nontransferrable and non-refundable.

 

7.1 Passes

Soulhub offers the following Passes: Intro First Class Pass; Intro Offer Package; Casual Passes; Pay by the Week Membership Passes, and Wellbeing Passes and Packages. Details of the Passes and Packages can be found on our website www.soulhub.co (the Website).

a. Intro First Class Pass

The First Class Pass provides you with the opportunity to purchase and attend a Class at a fixed price, as specified on the Website, with an expiry date of 7 days from date of purchase.

You may purchase an Intro Offer Package following the Intro First Class Pass, but you may not purchase a First Class Pass if you have previously purchased any of the Passes or Packages.

You acknowledge and understand that under no circumstances is Soulhub under any obligation to: refund you the price paid for the First Class Pass; allow you to cancel the Pass; allow you to transfer your Pass to a third party; or extend the expiry date.

b. Intro Offer Package

The Intro Offer Package provides you with the opportunity to purchase unlimited classes at a fixed price with an expiry date of 7 days from date of first booking of the Class.

You acknowledge and understand that under no circumstances is Soulhub under any obligation to: refund you the price paid for the Intro Package; allow you to cancel the Package; allow you to transfer your Package to a third party; or extend the expiry date.

c. Casual Passes

The Casual Passes provide you with the opportunity to choose from various Casual Pass packages, as specified on the Website or App.

Through the various Casual Pass packages, you can purchase either:
– a single class at a fixed price with an expiry dated of 1 month from date of first booking Class;
– 5 classes at a fixed price with an expiry date of 3 months from date of first booking of a Class;
– 10 classes at a fixed price with an expiry date of 5 months from date of first booking Class; and
– 20 classes at a fixed price with an expiry date of 12 months from date of first booking Class.

Your Class Pack period commences on the day you undertake your initial class pack. All pack expiry dates, as stated on the Website and App, are final. If you have a medical condition that prevents you from attending any classes, we require a medical certificate from your medical practitioner. With valid reason, will will extend the expiration of your pack, once the request has been received by us by emailing hello@soulhub.co.

d. Original Soulmate Member offer: Pay by the Week Membership Pass – Greatest Flexibility (no lock in contract) @ Discounted Rate

The Original Soulmate Intro Offer Pass is a one-off Opening Special and provides you with the opportunity to purchase an unlimited number of Classes at a fixed price with an expiry date of 14 days from date of opening (6th February 2023).

You acknowledge and understand that under no circumstances is Soulhub under any obligation to: refund you the price paid for the Pass; allow you to cancel the Pass; allow you to transfer your Pass or any of the ‘Good 4 the Soul’ freebies, to a third party; or extend the expiry date.

Upon expiry of the 2 weeks of unlimited classes, you have 7 days where you can transition into a Pay by the Week Membership Pass – Greatest Flexibility at the discounted price of the Pay by the Week Membership Pass – Greatest Value where there is no minimum contract commitment.

It provides you with the opportunity to choose from various Membership Pass Packages, as specified on the Website and the App. Under no circumstances is Soulhub under any obligation to: refund you the price paid for the Pass; allow you to transfer your Pass to a third party; allow you to attend more than the allocated weekly Classes per Pass, or extend the expiry date.

Membership Class Allowances must be utilised within the given week and do not roll over from week to week. It is the member’s responsibility to schedule their own classes using the booking system via our App. Classes not undertaken within the weekly period are forfeited and are not able to be credited to future weeks.

During your Membership, we understand that you may require us to place your Membership on hold. Email notification of all hold requests must be sent to hello@soulhub.co allowing a minimum seven days notice of the required hold. We allow a one freeze period of up to two-weeks period per every six months of paid membership, at a rate of $5 per week (in lieu of
the usual weekly rate).

If you freeze your Pass for longer than 2 weeks within a six month timeframe, you lose the right to your ‘Original Soulmate Pass Benefit’ of the discounted, flexible rates. If and when you purchase another Pay by the Week Membership, it will default to the Standard Terms, Conditions and Prices on the Website and App.

This Original Intro Pass is limited to one per new Member at the time of Opening (Feb 2023).

7.2 Packages

There are two options for Pay by the Week Membership Packages to choose from:
Greatest Flexibility: week-to-week membership (no lock in contract)
Greatest Value: minimum 12 week commitment

a. Pay by the Week Membership Package – Greatest Flexibility (no lock in contract)

The Pay by the Week Membership Package – Greatest Flexibility, provides you with the opportunity to choose from various Membership Pass Packages, as specified on the Website and the App. There is no minimum contract commitment.

Membership Class Allowances must be utilised within the given week and do not roll over from week to week. It is the member’s responsibility to schedule their own classes using the booking system via our App. Classes not undertaken within the weekly period are forfeited and are not able to be credited to future weeks.

A weekly membership starts on the date that you sign up for a membership and submit an initial payment via our Website or mobile App. Unless we otherwise communicate a different time period to you at the time of sign up, each billing cycle is one week in length.

Your membership automatically renews each week, and we will automatically debit the weekly membership from your nominated payment method each week, until your membership is cancelled.

Greatest Flexibility Memberships can be cancelled at any time, with 3 days written notice to hello@soulhub.co. The membership will cease prior to the next direct debit payment that is due the following week. No pro-rata funds will be refunded if cancelled mid-week.

Under no circumstances is Soulhub under any obligation to: refund you the price paid for the Pass; allow you to transfer your Pass to a third party; allow you to attend more than the allocated weekly Classes per Pass, or extend the expiry date.

During your Membership, we understand that you may require us to place your Membership on hold. The Pay by the Week Membership Package – Greatest Value, provide you with the opportunity to choose from various Membership Pass Packages, as specified on the Website and the App. You acknowledge and understand the minimum payment commitment from you for a Pay by the Week Package is 12 weeks (the Contract Period) and under no circumstances is Soulhub under any obligation to: refund you the price paid for the Pass; allow you to cancel the Pass; allow you to transfer your Pass to a third party; allow you to attend more than the allocated weekly Classes per Pass, or extend the expiry date.

Membership Class Allowances must be utilised within the given week and do not roll over from week to week. It is the member’s responsibility to schedule their own classes using the booking system via our App. Classes not undertaken within the weekly period are forfeited and are not able to be credited to future weeks.

A weekly membership starts on the date that you sign up for a membership and submit an initial payment via our Website or mobile App. Unless we otherwise communicate a different time period to you at the time of sign up, each billing cycle is one week in length.

Your membership automatically renews each week, and we will automatically debit the weekly membership from your nominated payment method each week, until your membership is cancelled. The 12-week contract will automatically renew week to week perpetually until you terminate the Contract. Greatest Value Memberships can only be cancelled after minimum 12-week commitment term. We require a seven day written notification of your intention to cancel your membership by way of email sent to hello@soulhub.co

During your Membership, we understand that you may require us to place your Membership on hold. Email notification of all hold requests must be sent to hello@soulhub.co allowing a minimum seven days notice of the required hold. We allow one freeze period of two-weeks period per every six months of paid membership and at a rate of $5 per week in lieu of the usual weekly rate.

 

8.0 BOOKINGS, PAYMENT & CHECK IN

1. Bookings for Classes and Appointments are facilitated through the App. You may book a Class up to 14 days in advance of the Class. You may view available Classes up to 14 days in advance of the Class.

2. By attending our Classes, you agree to select a Pass and pay the respective fee for the Pass (the Pass Fee).

3. By attending our Soul Challenges, you agree to pay the respective fee for the Challenge Membership (the Challenge Membership Fee).

4. All payments made for the Passes, Challenge Memberships and Wellbeing payments are made using a third party payment gateway or third party automated direct debit provider (the Payment Provider). In using the Soulhub application (the App), attending a Class or making any payment in relation to same, you warrant that you have read, understood and agree to be bound by the terms and conditions that are available on the Payment Provider’s website and agree for the Fees to be charged by way of direct debits against your nominated bank account or credit card.

5. Upon arrival at Soulhub, you must sign in for all Classes on the device provided. For all Wellbeing appointments, you are to see a member of the Soul Squad who will check you in. We advise you to arrive 10 minutes before your scheduled Class or Appointment.

6. If You have not booked for a class, You are not guaranteed a position within the Class and We may refuse You entry to the class.

 

9.0 NON-PAYMENT

1. In the event you elect to pay by way of direct debit and/or credit card and there is a chargeback by your credit provider, Soulhub may suspend or terminate your pass or membership immediately. You will be charged the then current Soulhub administration fee which will be no less than $3.85 plus GST (Administration Fee) and you may also be charged interest in the amount of 2% above the Cash Rate Target set by the Reserve Bank of Australia (the Interest) on amounts which remain unpaid after 7 days. Upon payment of the Administration Fee, Interest and the entire Fee in accordance with the Terms, Soulhub will reinstate your pass or membership.

2. If you fail to pay the fees due, and any other monies payable under the Terms, Soulhub will issue an overdue payment notice and you will be liable to make the payment immediately. In the event the amounts remain unpaid after 7 days from the date of the notice, Soulhub may proceed to recover the debt from you without further notice. If Soulhub initiates debt recovery action against you, you acknowledge and agree that you will be and remain liable for all debt collection costs which includes any legal costs and collection agency
costs on an indemnity basis. You will also be liable to pay the Interest and Administration Fee on the outstanding debt and Soulhub may report the debt to a credit reporting agency.

 

10.0 CANCELLATION

1. In the event that the minimum number of participants per Class is not met, Soulhub reserves the right to cancel the Class. Soulhub will immediately notify you of the cancellation.

2. You may cancel or reschedule the Class by giving a minimum of 8 hours’ notice prior to your scheduled Class by doing so on the app or contacting Soulhub at hello@soulhub.co

3. In the event that you do not provide at least 8 hours’ notice of the cancellation or reschedule or you do not show up to the Class, you acknowledge and agree that:
– this will result in a forfeiture of the Class, and you will not receive a supplementary Class; and
– if you hold an Unlimited weekly membership or an Intro Offer Pass, you will incur a cancellation fee of $10 (the Cancellation Fee).
– The Cancellation Fee will be charged to your nominated credit card or bank details.
– The Cancellation Fee is the sole responsibly of you and must be paid in full once booking of the Class is confirmed and after you have received an invoice.

 

11.0.GIFT CARDS

1. Soulhub may create and offer to you gift cards for purchase (the Gift Card).

2. You may purchase a Gift Card for the values as set out on the Website and the Gift Card may be purchased on behalf of another recipient other than you.

3. Gift Cards may only be redeemed for eligible products and only for the balance that remains on the Gift Card. You acknowledge and agree that if you make any purchase with a Gift Card for a value that exceeds the balance of the Gift Card, the remaining amount shall be paid with another payment method.

4. To check the balance on a Gift Card or to report a lost or stolen Gift Card, you may contact Soulhub at hello@soulhub.co

5. Additional terms and conditions may apply to the Gift Cards and by purchasing a Gift Card, you agree to be bound by those terms.

6. You acknowledge and agree that you must not: – use the Gift Card in an unlawful manner, or in a manner that is in breach of these Terms or any additional terms relating to the Gift Card; and sell the Gift Card.

7. You acknowledge and agree that the Gift Cards are non-refundable.

 

12.0 REFUND

Our memberships, packages and appointments are non-refundable and non-transferable. We do understand that extenuating circumstances arise and we are open to discussing individual situations as they occur. Please contact a member of our Soul Squad if you have a circumstance that you want us to consider.

1. If, for whatever reason, you are unsatisfied with our Classes and/or our Wellbeing Services, please contact Soulhub directly outlining why you believe you are entitled to a refund of any Fee or Membership so that we can able to determine whether a refund should occur.

2. Any refunds granted pursuant to this clause will be at Soulhub’s sole discretion.

3. You will not receive a refund as a result of your failure to attend your Classes or a Wellbeing Appointment, or where you have failed to redeem your Classes as allocated to you through the Passes.

4. You will not receive a refund for a change of mind relating to a Pass, Membership or Wellbeing Appointment.

5. If you arrive more than 5 minutes late to your scheduled Class or Appointment, you may be denied entry at the discretion of the trainer. In the event that you are denied entry as a result of your late arrival, you acknowledge and agree that this will result in a forfeiture of the Class, and you will not receive a supplementary Class.

 

13.0 PHOTOGRAPHY

We may film or photograph classes in our studios or the various hubs, so it is possible you will appear in these videos or photos. By agreeing to these Terms and Conditions you allow us to use your image in promotional and other business-related material. If you do not wish to have your image used, please email hello@soulhub.co

 

14.0 EMERGENCIES

Soulhub has an emergency/crisis response procedure which is displayed at Soulhub and must be followed by you in case of any emergency.

 

15.0 CHANGES TO MEMBERSHIP TERMS

Soulhub reserves the right to change, vary or amend: the content of the Classes, the trainers of the Classes, the hours of operation; the Pass Fees; the and these Terms and Conditions from time to time at its sole and absolute discretion. Any changes to these Terms will be deemed effective upon Soulhub providing you with 10 days’ written notice and where the fee have changed, you irrevocably agree to the Payment Provider deducting the changed fees from your nominated bank account and/or credit card at the next payment cycle. We encourage you to review our terms and conditions from time to time when using our Services or visiting our Website.

16.0 WELLBEING SERVICES: SWEAT, SOOTHE & SPRAY

Soulhub standard terms and conditions apply for any Wellbeing Service (“Soul Sweat”, “Soul Soothe” or “Soul Spray”) purchased, including refund, prepaid and cancellation policies.

 

17.0 LIABILITY

By signing Soulhub Terms and Conditions, you agree that you assume any risk, and take full responsibility and waive and of personal injury; death, damage, or loss of personal property, associated with Our Services. You also understand that we do not guarantee, represent or warrant that your use of our service will be uninterrupted, timely, secure or error-free. Further, you are aware Soulhub that the results that may be obtained from the use of the service will be accurate or reliable.

Soulhub does not provide medical advice, education or treatment. The information provided is for general information purposes only and does not address individual circumstances or medical conditions. It may NOT be right for you and should not be relied upon in making decisions about your health. Always consult your doctor for medical advice.

To achieve the best results from our Wellbeing Services we advise you to avoid wearing makeup, creams, lotions, deodorants, antiperspirants, sunscreen, and other substances that cover the skin. We advise you read all the pre and post Appointment information carefully for each of the Wellbeing Services to ensure you get the best results from your Appointment.

In the case of a medical emergency, or a reaction, adverse reaction or side effect that may arise from the use of Our Services, the user understands they are solely responsible for seeking medical attention.

 

18.0 DISCLAIMER

a. You agree that you:

– you will take responsibility and let a member of the Soul Squad know if you have been sick or suffered an illness or injury that may affect your ability to perform physical activity.
– voluntarily accept and assume all risks flowing from participating in the Classes, Challenges and Wellbeing Services including, but not limited to, risk of personal injury, property loss or death; and
– will not make any claim against Soulhub for compensation or damages of any kind (whether direct indirect, consequential, economic, special or otherwise) that may be suffered or incurred by you arising in connection with the Terms, the Classes, the Challenges or Appointments.
